About Goto Nick Hughes

**Terms and Conditions**

**1. Payment Terms**

- **Due on Receipt:** All invoices issued by GoTo Nick Hughes are due upon receipt.

- **Late Payments:** Payments not received within thirty (30) days of the invoice date will be considered late and will incur additional charges.

**2. Late Payment Charges**

- **Interest:** A compounded interest of five percent (5%) per month will be applied to any outstanding balance beginning on the thirty-first (31st) day after the invoice date.

- **Late Payment Fee:** An additional late payment fee of one hundred dollars ($100) per month will be charged for each month that the payment remains overdue.

**3. Personal Guarantee**

- **Personal Guarantee by CEO:** In the event of a default in payment, the debt is personally guaranteed by the Chief Executive Officer (CEO) of the debtor company.

- **Company Guarantee:** The debtor company and its CEO both agree to be jointly and severally liable for any outstanding debt owed to GoTo Nick Hughes.

**4. Default and Collection**

- **Default:** If the debtor company fails to make payment as specified, GoTo Nick Hughes reserves the right to pursue all legal remedies available to collect the outstanding debt.

- **Collection Costs:** The debtor company and its CEO agree to reimburse GoTo Nick Hughes for any costs incurred in the collection of overdue payments, including but not limited to legal fees, court costs, and collection agency fees.

**5. Non-Compete and Non-Disclosure**

- **No Restrictions:** GoTo Nick Hughes and all its employees are not subject to any type of non-compete or non-disclosure agreements.

**6. Intellectual Property**

- **Ownership:** All materials created or produced by GoTo Nick Hughes are the sole property of GoTo Nick Hughes.

- **Release of Materials:** At the end of the agreement, GoTo Nick Hughes has the choice to release all materials (both tangible and intangible) to the client for a fee or to retain ownership and request the client to cease using anything not purchased from GoTo Nick Hughes.

- **Usage Rights:** Clients may only continue using products created for them during the time that GoTo Nick Hughes is contracted by the client.

- **Freedom to Contract:** GoTo Nick Hughes is free to sell or contract with anyone else in the same industry as the client without any risk.

**7. Client Responsibility**

- **Verification:** The client is solely responsible for verifying all content created by GoTo Nick Hughes.

- **Liability:** GoTo Nick Hughes is not responsible or liable for any material created. The client agrees that it has reached their specifications if they choose to distribute the materials in any way.

**8. Acceptance of Terms**

- By accepting an invoice from GoTo Nick Hughes, the debtor company and its CEO acknowledge and agree to these Terms and Conditions.

- These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of [Your State].

**9. Amendments**

- GoTo Nick Hughes reserves the right to amend these Terms and Conditions at any time. Any such amendments will be communicated to the debtor company in writing.

**10. Severability**

- If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.

**11. Entire Agreement**

- These Terms and Conditions constitute the entire agreement between GoTo Nick Hughes and the debtor company regarding the subject matter hereof and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter.
